Scope of activities performed may cover:


Current service of company’s bodies – organization of activity:

  1. Management Board
    • analysis of formal issues requiring Management Board motion,
    • formal and organizational service of Management Board meeting (date, agenda, motion drafts, minutes of meeting).
  2. Supervisory Board
    • preparation of motions for consideration of Supervisory Board,
    • formal and organizational service of Supervisory Board meeting (date, agenda, motion drafts, minutes of meeting).
  3. General Assembly
    • preparation of motions for consideration of General Assembly,
    • formal and organizational service of General Assembly meeting (agenda, room rental, catering service, motion dratfs, work organization, minutes of meeting).

Running of formal and legal documentation:

  1. Analysis of company’s general contract/statute on account of conformity with law regulations and submitted motions by particular Shareholders.
  2. Draw up and updating of internal law acts arising from obeying law regulations and company’s internal needs.
  3. Adaptation and updating of Management Board By-Laws according to company’s statute and company’s code.
  4. Adaptation and updating of Supervisory Board By-Laws according to company’s statute and company’s code.
  5. Draw up and submission of motions to Company’s Register Court (motions in the matter of data change, financial report submission).
  6. Running of books and registers:
    • share register,
    • book of minutes of shareholders’ meeting,
    • register of internal acts,
    • prescriptive,
    • book of external controls.

Substitute investing

Assume of responsibility for investment realisation involves:

  1. Preparation of investment on formal-legal account:
    • documentation arrangement with external bodies – regional authorities, design offices, independent research units,
    • obtainment of decision on implementation of changes in local plan of spatial development (MPZP) within investment’s scope,
    • obtainment of conditions on building and terrain development (WZiZT) for investment,
    • obtainment of right to land for investment that is permissions of land owners for building realisation,
    • obtainment of building permission.
  2. Hand over of construction site.
  3. Running and coordination of building.
  4. Supervision over realization and commissioning of particular stages.
  5. Investor’s supervision over realization.
  6. Final commissioning of investment.
  7. Hand over for maintenance.
  8. Material and financial settlement of investment.
  9. Investment hand over to investor assets.
